Ralcorp Holdings Inc said on Sunday that it rejected the unsolicited proposal it received from a third party in March, after a media report that ConAgra Foods Inc had made a bid for the private-label food maker. "We have not met, and are not in discussions, with any third party regarding the sale of the company," Chairman William Stiritz said in a statement late on Sunday. On Friday, cable television channel CNBC reported that ConAgra had made an unsolicited bid for Ralcorp and that talks were "no longer ongoing." Ralcorp also reported a higher-than-expected second-quarter profit and forecast full-year earnings above market expectations, helped by the contribution from its 2010 acquisition of American Italian Pasta. Shares of the company closed at $77.88 on Friday on the New York Stock Exchange.
